Terms & Conditions 

 

Responsibilities:

 

 Jason Cynthia PTY LTD T/A Heart Australia:

- Deliver completed sales to installation partner which contains:

   - System size that is soldPrice to the customer

   - Copy of the customer facing quoteSigned contract from the customer

   - Completed installation questionnaire with information on best time to contact, property access issues, location of the meter, and proposed panel location

   - Cash sale:  10% deposit

   - Financed Sale: Copy of the completed contract from the finance provider

 

Installation Partner:

- Contact customer within 24 hours of the sale to inform them of next steps

- Procure equipment required for installation

- Arrange everything necessary for the installation, including paperwork, permit application, grid connection forms, and a pre install site visit as necessary

- Complete installation in accordance with the CEC code of conduct and all local and state requirements

- Manage any rebates or RECs

- Invoice the customer and collect payment (aside from the 10% deposit for cash sales)

- Provide reporting on the install status and installation dates for each customer on a bi-weekly basis (on the 1st and 16th of each month)

 

Payment Terms 

 

Installation Partner will arrange and deposit payment to Jason Cynthia PTY LTD no later than the 7th of each month for all installations completed in the previous month. For example, if 100 installations are completed in May 2014 payment will be made no later than June 7th, 2014. If payment is not received in full Jason Cynthia PTY LTD reserves the right to transfer any upcoming installations to another installation partner.

 

Payment will be in the amount of 15% of the total sold price to the customer.

 

General Provisions

 

Ownership and Confidentiality – The Installation Partner acknowledges that all information relating to the business, operations, systems, and personnel of Jason Cynthia PTY LTD and/or its customers or partners and all hard and soft copies of any such information (collectively, “Confidential Information”) is and shall be the sole and exclusive property of Jason Cynthia PTY LTD and that the installation partner shall not have claims of any kind on all or any part of the Confidential Information. The installation partner further covenants and undertakes as follows:

- To keep all Confidential Information in its possession confidential at all times

- To not disclose any Confidential Information to any person

- To use the Confidential Information solely in connection with the performance of the partnership and for no other purpose

- To not sell, liscence, loan, divulge, or otherwise deal with the Confidential Information except if approved in writing by Jason Cynthia PTY LTD

 

Governing Law – This agreement is governed by and shall be construed in accordance with the laws in force in New South Wales.

 

Independent Advice – each party to this agreement acknowledges to the other that it has had ample opportunity to seek independent legal and accounting advice prior to signing this agreement. If they have not obtained such advice prior to signing then they acknowledge they have made such a decision freely and voluntarily and not through the exertion of any pressure by Jason Cynthia PTY LTD.

 

Authority – The persons signing on behalf of the installation partner acknowledges that it has authority to sign this agreement for an on behalf of the installation partner and has no notice of revocation or suspension of such authority.

 

Survival of Agreement – This agreement shall survive the termination of any installation agreements between Jason Cynthia PTY LTD and the installation partner under all circumstances.
